MACH-HR Subscription, Cancellation and Refund Policy

This policy explains how subscriptions, cancellations and refunds work for paid MACH-HR subscriptions provided by Machi Kunzult Ltd.

Important: Except where a refund is expressly agreed in writing or required by applicable law, subscription fees are non-refundable once a paid subscription has been activated and access has been made available. Use the five-day free trial to evaluate MACH-HR before subscribing — see Section 3.

1. Purpose and Application

This Subscription, Cancellation and Refund Policy applies to all paid subscriptions to the MACH-HR platform provided by Machi Kunzult Ltd (“Machi Kunzult,” “MACH-HR,” “we,” “us” or “our”). By purchasing or renewing a subscription, the subscribing organisation agrees to the subscription, cancellation and refund terms stated in this Policy.

Where Machi Kunzult Ltd and a subscribing organisation have separately agreed specific written terms on refunds, cancellation or service credits, those specific terms will apply to the extent of any inconsistency with this Policy.

2. Subscription Period and Fees

MACH-HR subscriptions may be purchased monthly, annually or for another agreed period. The applicable fee, employee or user limit, enabled modules and subscription period will be shown in the selected plan, invoice or other written confirmation.

The subscription begins when the paid service is activated or on another agreed commencement date. Subscription fees, implementation fees, custom-development fees, transaction charges and other amounts already due remain payable even where the organisation later reduces or discontinues its use of the platform.

3. Five-Day Free Trial

Where available, MACH-HR provides a five (5) day free trial to enable prospective organisations to assess the platform before making payment. Prospective subscribers are encouraged to use the trial period to determine whether the available modules and functionality meet their requirements.

Machi Kunzult Ltd may change or withdraw future promotional trials, provided that an ongoing trial will not ordinarily be affected except where reasonably necessary for security, misuse prevention, legal compliance or platform integrity.

4. No-Refund Policy

Except where a refund is expressly agreed in writing or required by applicable law, subscription fees are non-refundable once the paid subscription has been activated and access to the subscribed services has been made available.

Cancellation before the end of a paid monthly, annual or other subscription period does not entitle the subscribing organisation to a refund for the unused portion of that period.

This restates the fact that MACH-HR commits hosting, database, storage, communication, security, support and other operational resources when a subscription is activated. Nothing in this Policy excludes any right or remedy that cannot lawfully be excluded or restricted.

5. Circumstances Where Refunds Are Not Ordinarily Available

Subject to applicable law, a refund will not ordinarily be provided because of voluntary cancellation, non-use or underuse of the platform, early discontinuance of a monthly or annual subscription, reduction in employee headcount, organisational restructuring, change in business requirements, change of software provider, or dissatisfaction with a feature that was available during the trial or accurately described before subscription.

A refund will also not ordinarily arise from problems caused by the subscribing organisation's internet connection, devices, internal systems, incorrect configuration, misuse of the platform, unauthorised use by its personnel, or third-party services outside Machi Kunzult Ltd's reasonable control.

6. Duplicate Payments, Billing Errors and Exceptional Remedies

Where a subscribing organisation is charged more than once for the same transaction, or an incorrect amount is charged solely because of an error attributable to Machi Kunzult Ltd, the transaction will be reviewed and any confirmed overpayment will be reversed, refunded or credited as appropriate.

Where Machi Kunzult Ltd fails to activate a paid subscription or is unable to provide the subscribed service for a prolonged period for reasons directly attributable to Machi Kunzult Ltd, an appropriate service credit, partial refund or other remedy may be considered, subject to applicable law and any specific service-level terms.

Any discretionary credit or refund granted outside a legal or contractual entitlement does not create an entitlement in another case.

7. Cancellation, Upgrades and Downgrades

A subscribing organisation may request cancellation by contacting support@machi-kunzult.com or through any cancellation function made available within the MACH-HR platform.

Unless otherwise agreed, cancellation takes effect at the end of the current paid subscription period. Access will ordinarily continue until that date, and no refund will be issued for the unused portion of the paid period.

Where recurring billing is enabled, a valid cancellation made before the next renewal takes effect will stop future subscription charges after the current paid period.

An upgrade, additional module or increase in employee or user numbers may attract additional charges. A downgrade, reduction in employee numbers or removal of modules during an already paid period does not create a retrospective refund. Any approved downgrade will ordinarily take effect from the next billing or renewal period.

8. Suspension and Termination

Machi Kunzult Ltd may suspend or terminate access to all or part of MACH-HR where reasonably necessary because of non-payment, material breach, unlawful or fraudulent use, misuse affecting the platform or other users, a material security risk, a legal or regulatory requirement, or another serious breach of the applicable service terms.

Where reasonably practicable, Machi Kunzult Ltd will notify the subscribing organisation and provide an opportunity to remedy the issue. Suspension or termination arising from the subscribing organisation's breach, non-payment or misuse does not ordinarily entitle it to a refund.

Where Machi Kunzult Ltd terminates a paid service for its own convenience and the subscriber is not in breach, an appropriate pro-rata credit, refund or alternative arrangement may be provided for the unused portion of the paid period.

9. Data Access After Cancellation or Expiry

Following cancellation or expiry, organisation data will ordinarily remain available for export for thirty (30) days. Thereafter, data may be deleted from active production systems or retained where required by law, security obligations or applicable data-retention requirements.

Protected backup copies may remain until they are deleted or overwritten through the ordinary backup-retention cycle. Cancellation or expiry does not require Machi Kunzult Ltd to retain customer data indefinitely.

10. Outstanding and Third-Party Charges

Cancellation or termination does not extinguish any subscription fee, implementation charge, custom-development fee, transaction charge or other amount that became due before the effective date of cancellation or termination.

Where a charge is imposed directly by a third-party payment, banking, communication or integration provider and was not received or retained by Machi Kunzult Ltd, any refund is subject to the relevant third-party provider's terms. Where reasonably possible, Machi Kunzult Ltd will assist the subscriber in identifying the appropriate provider.

11. Changes to This Policy

Machi Kunzult Ltd may update this Policy to reflect changes in its subscription arrangements, payment processes, services or applicable law. A material amendment will not retrospectively remove a refund, credit or cancellation right that has already accrued.

Where appropriate, material commercial changes will apply from the next renewal or subscription period. The effective date shown at the beginning of this Policy indicates when it was last revised.

12. Governing Law, Dispute Resolution and Contact

This Policy is governed by the laws of the Federal Republic of Nigeria. Nothing in this Policy is intended to exclude or restrict any statutory right, remedy or liability that cannot lawfully be excluded or restricted.

Any dispute arising from subscription fees, cancellation or refunds shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to the Lagos Multi-Door Courthouse for arbitration in accordance with its applicable rules. Where recourse to court is permitted by law following the arbitration process, either party may approach a court of competent jurisdiction in Lagos State, Nigeria.
